These terms govern your use of HubCapital and apply to both businesses seeking investment and investors seeking opportunities. Please read them carefully.

1. Acceptance of Terms
By accessing or using HubCapital (the "Platform"), you agree to be bound by these Terms of Service. If you do not agree, you may not access or use the Platform. These terms apply to both businesses seeking investment and investors seeking opportunities.
2. Eligibility & Verification
Businesses must provide a valid Employer Identification Number (EIN) and upload a legitimate business registration document to list on the Platform. Investors represent that they are authorized to evaluate and, where applicable, participate in investment opportunities. HubCapital reserves the right to verify, suspend, or remove listings that do not meet eligibility requirements.
3. E-2 Visa Disclaimer
HubCapital facilitates introductions between U.S. businesses and foreign investors. The Platform does not provide legal, tax, or immigration advice, and does not guarantee that any investment will qualify for an E-2 visa or any other immigration benefit. Parties are strongly encouraged to consult qualified immigration counsel and financial advisors before proceeding with any transaction.
4. User Responsibilities — Businesses
Businesses agree to provide accurate, complete, and current information about their enterprise, including financials, ownership, and use of funds. Businesses are responsible for the truthfulness of their listings and for conducting good-faith diligence with prospective investors.
5. User Responsibilities — Investors
Investors agree to perform their own independent due diligence. HubCapital does not endorse, warrant, or guarantee the performance or viability of any listed business. Investment decisions are made solely at the investor's own risk.
6. Membership, Credits & Billing
Access to certain features requires a paid membership (Basic, Premium, or Pro) or the purchase of interaction credits. Fees are billed through our payment processor and are non-refundable except as required by law or as stated in our refund policy. Membership tiers and credit allotments may change with reasonable notice.
7. Matching & Messaging
Matches and messages are generated based on expressed mutual interest. HubCapital does not guarantee a match, a response, or any specific outcome from interactions on the Platform. Abusive, fraudulent, or harassing conduct may result in immediate termination of access.
8. Limitation of Liability
HubCapital is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, HubCapital disclaims all liability for any direct, indirect, incidental, or consequential damages arising from use of the Platform or any introduction or transaction facilitated through it.
9. Privacy
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Platform you consent to the practices described therein.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the Platform. Continued use after changes take effect constitutes acceptance of the revised Terms.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Disputes shall be resolved in the courts located in Delaware.
